LUXLOVELOUIS LLC — MASTER TERMS & CONDITIONS

Version: 2.1
Prepared: October 14, 2026
Effective: On the date this version is approved, published and presented to customers; not retroactive

1. Scope and acceptance

These Master Terms & Conditions ("Terms") govern purchases, website use, item reservations, invoices, approved in-house payment plans, live sales, auctions, consignment services and related dealings with LuxLoveLouis LLC ("LuxLoveLouis," "Company," "we," "us" or "our"). A "customer" or "buyer" is a person purchasing or reserving merchandise. A "consignor" is an owner who submits merchandise under a separately accepted Consignment Agreement. "Item" means the specific used or pre-owned merchandise identified in a listing, invoice or signed agreement.

By affirmatively accepting an applicable agreement, submitting an authorized order or payment, or making a confirmed purchase commitment under disclosed auction or live-sale rules, a customer agrees to the terms presented for that transaction. The legal effect of website browsing, account use and electronic acceptance is determined by the applicable circumstances and law; merely viewing a page does not convert every separate service agreement into a signed contract.

Nothing in these Terms removes rights or remedies that cannot lawfully be waived. If a customer does not agree to a proposed transaction's applicable terms, the customer should not accept or complete that transaction.

2. Documents that control each transaction

These Terms operate together with the separately published Refund & Final Sale Policy, Shipping, Delivery & Insurance Policy, Authentication Policy & One-Year Guarantee, In-House Payment Plan Terms & Client Agreement and any expressly accepted Subscriber Rider, Live Sales & Auction Policy, Consignment Agreement, Privacy Policy, and a promotion's separate Official Rules when relevant. The customer's exact-item listing and accepted invoice control item identity, price, documented condition, confirmed inclusions and payment method. A specifically accepted item agreement governs its subject matter where it does not conflict with mandatory law.

The controlling version is the version presented to and accepted by the party when the transaction was formed, together with any valid written amendment. Newly posted Terms generally apply prospectively. A purchaser entering an in-house reservation must affirmatively accept the particular payment-plan schedule; a consignor must accept the particular inventory and compensation schedule; and an auction bidder must be given the applicable event conditions before a binding bid. Terms merely appearing elsewhere on the website do not retroactively replace a signed agreement.

Where policies overlap, the more specific document addresses that subject, but neither an invoice nor a specialist policy defeats a legally protected remedy. If written terms contain a material ambiguity, LuxLoveLouis will evaluate the signed records, customer-facing disclosures, transaction history and applicable law. A customer may request the applicable accepted policy version by emailing the Company.

3. Age, eligibility and truthful information

Purchasers entering binding orders and persons entering consignment or payment-plan agreements must be at least eighteen (18) years old and legally capable of contracting. Live sales and auctions generally are limited to eligible United States participants unless an event's lawful written terms state otherwise. The Company may request reasonably necessary evidence of age, identity, ownership or payment authorization.

Customers and consignors must provide true legal and contact information, complete delivery details, and accurate material representations. A knowingly false ownership claim, stolen payment credential, manipulated bid or false authenticity document may lead to cancellation, lawful access restrictions and appropriate reporting. Identity requests must be proportional to a legitimate purpose and handled under the Privacy Policy.

4. Independent reseller and brand disclaimer

LuxLoveLouis is an independent pre-owned luxury resale and consignment business. It is not affiliated with, authorized by, sponsored by or endorsed by any designer or manufacturer merely because that designer's goods appear for sale. Designer names, trademarks and logos identify the goods being resold and remain the property of their respective owners. Unless expressly documented, manufacturer warranties, retail store benefits, manufacturer authentication and future service eligibility are not included.

5. Individual listings; exact-item evidence

Each listed item is a specific pre-owned object, often with only one unit in inventory. A listing aims to distinguish verified exact-item facts from manufacturer reference specifications and market terminology. Manufacturer documentation controls official model specifications where available; the actual item's photographs, markings and measurements control what is physically offered. Comparisons, reference dimensions, product names and condition descriptions are supplied in good faith but cannot replace an actual item inspection.

Customers should review photographs, material and color disclosures, size, wear, alterations, available measurements and expressly listed inclusions before buying. Photography and display calibration can cause limited apparent color variation; that notice is not permission to materially misrepresent the item. We will not knowingly invent a serial number, maker reference, certificate, receipt or inclusion.

6. Condition classifications

Condition may be described as Like New, Excellent Pre-Owned, Very Good Pre-Owned, Good Pre-Owned, or Used Condition. These are resale assessments of the exact item, not manufacturer-issued grades or promises of new merchandise. Normal wear consistent with a disclosed condition may include patina, minor handling marks, rubbing or other specifically described details. Undisclosed damage or a material mismatch between delivered goods and the agreed description is evaluated under applicable law and the governing policies, not automatically excused as "pre-owned wear."

Measurements taken from the individual item should be identified as item measurements; manufacturer dimensions should be identified separately as reference data. A strap or detachable component must never be assumed present merely because that model originally shipped with one.

7. Authentication authority

When a listing states that an item is authenticated, the actual authentication conclusion comes from a trusted independent third-party authentication provider who reviewed that item. LuxLoveLouis separately performs intake, condition, photography, evidence, inventory and listing checks; those internal activities are not a replacement for a third-party authenticity determination. Provider identity, certificate details and authentication status are represented only when supported by the exact-item review.

The provider's assessment reflects its professional opinion within the scope and limitations of the assessment. It is not an endorsement by the manufacturer. The governing one-year guarantee sets the Company's contractual authenticity remedy for eligible purchases, in addition to mandatory law.

8. Jointly reviewed components; separate collateral

An original strap, chain, pouch or other functional accessory submitted together with the exact handbag and evaluated as part of that handbag's documented authentication review belongs to the authenticated item configuration to the extent established by the provider's work. This does not imply that the accessory holds a separate manufacturer-issued certificate. Its documented review status and any warranty coverage are addressed by the Authentication Policy and exact-item evidence.

By contrast, a box, dust bag, receipt, ribbon, care card, shopping bag, tag, non-original replacement component, or separately added accessory is not automatically included, original or authenticated. Such material is covered only by a specific written representation or separately documented review. The exact product's Comes With or confirmed inclusion record controls which articles the customer will receive. Decorative or display-only photography does not constitute a promise to supply every object pictured.

9. One-year authenticity guarantee

For the original buyer of an eligible, authenticated item purchased directly from LuxLoveLouis, the Company provides the separate One-Year Authenticity Guarantee. For transactions governed by these revised Terms, the Guarantee Start Date is confirmed delivery of the paid item to the buyer, or documented in-person release for a local pickup. A payment-plan deposit or installment, standing alone, does not begin the guarantee period. Where delivery confirmation is absent or disputed, the Company will review credible evidence of actual receipt rather than impose an unsupported earlier date. The guarantee runs for one calendar year following that established start date. This start-date standard is for future purchases only after the revised policy is adopted.

Covered configuration includes the authenticated main item and any original functional components that the provider's exact-item record establishes were reviewed together with it. Packaging and unrelated accessories are not silently added. Eligible claims, reassessment, item identification, return transport, tax, fees and refund accounting follow the written Authentication Policy. The guarantee does not remove separate statutory remedies or make every unsubstantiated concern an automatic refund.

10. Retail pricing, taxes and availability

Prices are expressed in United States dollars unless an applicable agreement states otherwise. Applicable taxes, shipping, optional insurance and other charges will be displayed, calculated or individually disclosed before a purchase is accepted. Any collection or exemption of tax follows the law applicable to the transaction and delivery location.

Most goods are unique and availability is not guaranteed merely by browsing, adding to cart or requesting an invoice. The Company may correct a genuine clerical or technical pricing error and decline an unaccepted order. For a canceled accepted order, collected funds will be treated in accordance with applicable law and the governing agreement. Prices may be updated for future unaccepted transactions; already accepted pricing is not silently changed.

11. Payment methods and transaction authorization

Accepted payment methods are those displayed at checkout or specifically approved in the invoice, including supported payment cards or other lawful payment methods where offered. The buyer represents that the selected funding source is authorized. Different channels may support different options; the listing of a payment service here does not guarantee its availability for every purchase.

The Company may use fraud controls, authorization checks and transaction verification. A reasonable verification hold does not eliminate any statutory shipment or refund requirement. Where a payment is dishonored, reversed or unauthorized, the Company may investigate and take lawful contractual steps based on evidence, subject to the consumer's protected dispute rights.

12. Direct purchases and item release

A direct Buy-Now sale generally requires full payment of the item price and applicable disclosed charges before shipment. An item is not considered reserved merely because a buyer requests information. If a direct order is accepted and paid, LuxLoveLouis will process the order under its applicable shipping promise, inventory status, verification requirements and law.

A direct purchase is ordinarily final for buyer's remorse, subject to the Refund & Final Sale Policy, the One-Year Authentication Guarantee and other legal exceptions. Direct purchases do not turn into payment plans without express written acceptance of a revised transaction.

13. Live sales and auctions

Live sales, comment-based claims, story auctions and formal auctions are distinct transaction methods. Participation may require eligibility verification and compliance with stated opening prices, reserve rules, bid increments, timekeeping and event conditions. A "SOLD" or similar message becomes binding when it is valid and accepted under the event's disclosed process; simply seeing a comment on a device does not guarantee priority.

Invoices for confirmed auction or live-sale purchases generally are due within twenty-four (24) hours after issuance unless another deadline is disclosed or agreed in writing. The Company generally does not impose a buyer's premium unless that premium has been clearly disclosed in advance. An unpaid commitment may result in relisting or restriction of future event participation as lawfully permitted. The separate Live Sales & Auction Policy controls procedural details. Statutory and authenticity rights remain applicable.

14. In-house reservations and payment plans

An approved item reservation usually begins with a 35% deposit and an eight-week completion period, or, for an expressly eligible subscriber-approved offer, 25% down and ten weeks. The percentages are calculated on the agreed merchandise price before separately charged tax, shipping and optional services, unless the particular accepted schedule explicitly adopts another lawful base. The exact dollar amount, all other charges and total balance must be visible before the deposit is taken. The exact accepted invoice and any lawfully negotiated variation govern the customer’s particular deposit.

The plan begins when LuxLoveLouis accepts the item-specific arrangement and receives the stated opening deposit. A plan is a reservation pending payment, not an immediate release of merchandise. The Company will record the start date, final deadline in America/New_York time, any approved extension and the final shipping promise. The legal classification of each arrangement depends on its actual terms rather than a label such as "layaway" or "not credit." The separate Payment Plan Agreement and Rider control further details and legally required consumer disclosures.

15. Deposit, installment ledger and title

During an approved reservation, the identified item is removed from ordinary sale availability, and the Company maintains a ledger of the merchandise amount, taxes, shipping, deposit, installments, adjusted fees, refunds and outstanding balance. Buyers may make installments at varying intervals within the period allowed by the accepted schedule. The Company will provide a copy of the ledger on reasonable request and will not rely on a claim that only the customer must retain payment records.

Ownership and release remain subject to the accepted contract and lawful payment and delivery rules. Describing an opening payment as non-refundable for a voluntary change of mind does notauthorize retaining amounts that must be restored by statute or upon the Company's nonperformance. Items are generally not shipped before complete payment; fulfillment representations and the shipment clock remain subject to the Shipping Policy and applicable law.

16. Extensions, grace period and default

The standard program may permit a discretionary one- or two-week extension requested on or before the agreed payment deadline, with the currently described fee of $50 per additional week where disclosed and expressly approved. An extension is effective only when LuxLoveLouis confirms the revised deadline and authorized fee in writing. A three-calendar-day grace period follows the applicable final deadline, including a valid extension where incorporated into the accepted agreement; during grace, the full outstanding balance must be paid. The separate Subscriber Rider must expressly specify whether the same rules apply.

If payment is not completed by the final valid deadline, LuxLoveLouis may end the reservation, notify the customer and relist the item. The Company will use an itemized default ledger to evaluate actual paid sums, any lawful agreed damages, legally recoverable offsets and restitution required by law. It will not mechanically forfeit every installment, impose an unannounced penalty or penalize the mere filing of a good-faith billing dispute. The detailed default-and-restitution procedure in the Payment Plan Agreement governs, subject to applicable law.

17. General final-sale policy

LuxLoveLouis does not provide ordinary buyer's-remorse returns. Except where law or an expressly applicable written policy provides otherwise, a purchase is final for a change of mind, voluntary change of financial circumstances, preference regarding fit, style or color, or normal wear accurately disclosed before purchase.

This policy does not waive relief for a valid authenticity guarantee claim, merchandise that materially fails to conform to an express description, an applicable shipment-delay refund, non-delivery, an unauthorized transaction or any other legal right that cannot be excluded. The Refund & Final Sale Policy contains customer-facing instructions and the distinction between discretionary exceptions and required remedies.

18. Voluntary exceptional returns and fees

A buyer ordinarily cannot obtain a return for buyer's remorse. In an unusual case, LuxLoveLouis may voluntarily approve a return or cancellation under individually documented conditions. The Company will state in writing, before the buyer agrees, whether any reasonable and lawful handling or restocking charge applies and the precise amount or calculation. No standard automatic restocking percentage is adopted by this Master Agreement. If no fee is expressly agreed for an optional accommodation, no retroactive fee will be added.

No restocking charge is assessed as a condition of an authenticity-guarantee remedy or another refund legally owed. Consignor early-withdrawal charges arise only under a separately accepted Consignment Agreement and are not buyer restocking charges.

19. Fulfillment times and online-order shipment obligations

For an ordinary accepted purchase ready for fulfillment, LuxLoveLouis generally expects physical carrier tender within one to three business days of the applicable accepted order and required verification, absent a different clearly disclosed lawful shipping date. Merely creating a label is not shipment. If a longer dispatch period applies, it must be clearly disclosed before an order is accepted.

An approved payment-plan arrangement must disclose the reservation, future-release condition, specific estimated shipment date or determinable shipment window and cancellation/delay rights before any deposit is collected. Receipt of an accepted partial payment may constitute receipt of a properly completed order for purposes of the FTC Mail, Internet, or Telephone Order Merchandise Rule. LuxLoveLouis does not categorically delay statutory shipment obligations until payoff simply by calling a transaction a reservation.

Where applicable, if a shipping promise cannot be met, the Company will give timely notice, offer legally required consent/cancellation choices and issue legally required refunds within the appropriate statutory timeframe. The operational Shipping Policy and written order status/notification records govern these steps.

20. Shipping services, signature, insurance and risk

The actual accepted delivery quote identifies the service, shipping charge, any signature requirement and optional insurance chosen. USPS is commonly used, but no particular carrier or amount of automatic coverage is promised for every order. The Company will record actual purchased carrier coverage rather than assume it equals the merchandise price.

Claims of missing, damaged or misdelivered goods will be investigated using tracking, carrier tender and delivery records, photographs, communication history, the accepted sales agreement and applicable law. The allocation of risk depends on whether the actual contract is a shipment or destination contract, whether conforming goods were properly tendered and any mandatory customer remedies; one generic "not responsible after pickup" sentence cannot decide all cases. Insurance is not a substitute for legally owed delivery performance or required refunds.

21. Returns of nonconforming merchandise

A customer alleging material misdescription, undisclosed nonconformity, missing expressly promised inclusions, or a qualifying authenticity concern should contact LuxLoveLouis with order identification and reasonable documentation. LuxLoveLouis may request inspection, return authorization and preservation of the item, as appropriate. The handling of a claim is subject to mandatory law, any express guarantee and the actual condition of the merchandise. The customer should not alter the item while a good-faith claim is pending unless necessary to protect property or comply with law. No policy language makes the Company's own records irrebuttable evidence against the buyer.

22. Other financing and installment providers

Financing offered by a third party is not a LuxLoveLouis in-house payment plan. A lender or financing provider controls its approval, interest or fees, servicing, lending disclosures and repayment under its applicable agreement. The availability of the provider may vary. Customers' rights against the third party and applicable consumer-credit laws remain intact.

23. Fraud safeguards and account restrictions

We may investigate fraudulent conduct, identity misrepresentation, stolen goods, suspicious payment authorization, auction manipulation and other material misuse of services. Subject to law and agreed obligations, the Company may refuse a future sale, suspend unaccepted orders or limit account privileges for legitimate documented reasons. Where an accepted order is canceled by the Company, funds will be handled under the controlling agreement and applicable law; a fraud concern is not an automatic basis for permanently retaining unrelated payments.

24. Lawful billing disputes and chargebacks

Customers should report suspected errors promptly so LuxLoveLouis can review the actual invoice, transaction authorization, photographs, authentication record and shipping evidence. A customer does not waive legally protected payment-card, bank, billing-error, complaint or regulatory rights by paying an invoice or accepting a reservation. A good-faith claim or dispute is not by itself fraud, default, a prohibited chargeback or a basis for automatic loss of deposited funds.

LuxLoveLouis may submit documented facts to processors, challenge demonstrably unfounded allegations and restrict future business where specific, supportable fraud or abuse exists, consistent with applicable law. Company records are relevant evidence, not conclusive proof that overrides independently verified information or a neutral tribunal's decision. A valid customer's separate rights under an Authenticity Guarantee remain available.

25. Consignment relationship

Accepted consignments are governed by a separately signed Consignment Agreement and an item-specific schedule completed before intake. For newly accepted consignment agreements, standard business tiers are 25% for ordinary eligible merchandise, 18% for qualifying individual items selling above $7,500, and 30% for designated small leather goods or accessories. The exact tier, calculation base, listing price, minimum authorized price, term, consent for price reductions, return costs, custody/insurance and payout timing must be accepted for each item. Different individual arrangements must be expressly documented before service.

Additional withdrawal, authentication, storage or service fees apply only when the particular amount and triggering condition were expressly accepted and are legally permitted. The consignment contract must also identify a defensible sale/payout trigger and procedures for suspected non-authentic, unclaimed or returned goods; broad authorization to confiscate or destroy property is not assumed.

26. Auctions and consignor-provided goods

A buyer of a consigned product purchases the item from LuxLoveLouis under the accepted sale terms; the buyer's applicable rights are not erased by the fact that the item was consigned. The consignor's obligations, sales authorization, commission and disbursement timing are determined independently by the Consignment Agreement. Refunds, chargebacks, fraud holds and unresolved authenticity claims may affect disbursement where expressly and lawfully provided in that agreement.

27. Acceptable website behavior

Users may not knowingly provide false identities, submit unauthorized payments, use malware, interfere with checkout or bidding systems, impersonate customers, steal credentials, harass workers or commit unlawful acts. Reasonable security limitations and account restrictions may be applied, while preserving legitimate consumer complaints, truthful product reviews and lawful exercise of rights.

28. Intellectual property and recordings

The Company's original photographs, product copy, website graphics, brand materials and videos are protected by applicable intellectual-property law. The purchase of a product does not transfer intellectual-property rights to the Company's original content. Designer trademarks remain with their owners. Uses permitted by law are not restricted by this paragraph.

LuxLoveLouis may retain transaction records, customer-service correspondence and video or electronic evidence for legitimate operations, security, compliance and dispute handling under the Privacy Policy. Any separate publicity use of a customer's image, identity or protected information is subject to law and any required consent.

29. Privacy and tracking

Personal information may be handled for orders, fraud prevention, shipping, marketing communications where permitted, analytics and other disclosed purposes. The Privacy Policy explains categories of information, recipients, cookies, retention and available privacy choices. These Terms do not override a privacy opt-out, grant blanket consent to optional marketing or authorize a use not properly disclosed. The applicable Privacy Policy describes the categories of connected providers and available customer choices.

30. Express warranty and pre-owned goods disclaimer

LuxLoveLouis offers pre-owned goods with exact-item photographs, condition disclosures, express material descriptions and the stated One-Year Authenticity Guarantee. Those promises remain enforceable as applicable and are not cancelled by a general disclaimer. TO THE EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR EXPRESS WARRANTIES OR REPRESENTATIONS ACTUALLY MADE, THE COMPANY DISCLAIMS THE IMPLIED WARRANTY OF MERCHANTABILITY AND THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. The enforceability of this conspicuous disclaimer depends on the actual transaction and presentation and will not extend further than applicable law allows.

A condition grade, normal-wear statement or display-color notice does not convert a materially inaccurate express description into an acceptable substitute item. Each item's written representation and nonwaivable statutory remedies continue to govern.

31. Limitation of liability

TO THE EXTENT PERMITTED BY APPLICABLE LAW, LuxLoveLouis is not liable for speculative or unforeseeable consequential losses arising solely from ordinary website use, service interruption or a transaction beyond the damages recoverable under the governing agreement and law. No limitation extinguishes an express item authenticity remedy, refund required by law, or liability that cannot lawfully be limited, including intentional misconduct or fraud. Any applicable limitation is assessed for its legal enforceability in the actual transaction and is not an automatic ceiling on every claim.

32. Informal resolution and formal disputes

A party may contact LuxLoveLouis@gmail.com with the order or agreement reference and a description of the concern. The Company will undertake a reasonable, good-faith attempt to review and resolve the matter. Using this informal process is encouraged but does not shorten or suspend a legal deadline unless a valid written tolling agreement or applicable law provides otherwise.

Disputes may be pursued in a court or other legally authorized forum with jurisdiction, subject to any separately, validly adopted and enforceable arbitration agreement actually presented to and accepted by the relevant party. This Master Agreement does not, by itself, impose a newly drafted mandatory arbitration requirement, class-action waiver, mandatory consumer opt-out procedure or hidden arbitration fee. If LuxLoveLouis elects to introduce consumer arbitration in a future version, the complete operative clause, governing consumer rules, filing costs, accessibility and any legally required small-claims or regulatory exceptions must be approved, disclosed and adopted before use.

Nothing in this section prevents lawful complaints to regulators, good-faith payment disputes or the exercise of nonwaivable rights. A separate business or consignment agreement may contain its own independently accepted and legally effective dispute term.

33. South Carolina law and appropriate forum

These Terms are generally governed by South Carolina law to the extent not superseded by applicable federal law or mandatory consumer protections of another jurisdiction. Forum or venue requirements apply only where valid under the applicable agreement and law. The Company's Charleston business location does not automatically make every consumer dispute subject to an in-person hearing in Charleston.

34. Promotions and sweepstakes

Any giveaway, prize promotion or sweepstakes offered by LuxLoveLouis is subject to separate, final and accurate Official Rules established before participation. The rules control eligibility, consideration/free entry, equal opportunities, entry limits, promotion dates, prize identification, winner selection, public disclosures and the handling of entrants. A sale of merchandise is not automatically a sweepstakes entry unless valid disclosed rules expressly establish one.

Nothing in these Master Terms validates an unreviewed or incomplete promotional program. A prior promotion is governed by its actually applicable rules and participant rights; new terms will not be applied retroactively to deprive entrants of rights. Promotional entry procedures, especially any disparity between paid and free entry opportunities, require separate legal and operational verification before promotional activity is accepted.

35. Events outside reasonable control

Reasonable interruptions beyond a party's control, including serious carrier disruption or natural disaster, may affect performance to the extent law permits. The Company will make reasonable efforts to communicate a material problem and perform outstanding obligations, but this section does not erase mandatory delay notices, shipment cancellation/refund obligations or payments already due back to customers under law.

36. Notices, changes and prospective application

Version 2.1 becomes operative only if and when LuxLoveLouis approves and publishes final agreed content with an actual effective date and makes it available to customers in the relevant transaction flow. A policy update is prospective unless the party consents to a valid amendment or applicable law requires otherwise. The Company will preserve prior transaction versions and signature/acceptance records.

Material amendments to an active payment plan, a signed consignment or a completed sale will not silently arise from a later website posting. Notices about particular transactions will be sent to the accepted contact details or other agreed communication channel; a general store update may appear on the policy pages where lawful. The Company will not use a revised website notice as a substitute for a legally required shipping-delay or refund communication.

37. Severability; entire agreement; no involuntary waiver

If an individual clause is unenforceable, remaining lawful terms may continue to apply insofar as consistent with the transaction and law. Failure to enforce a right once does not necessarily waive future enforcement. A separately accepted item-specific schedule is part of its governing agreement. No customer or consignor is deemed to waive statutory rights simply by receiving a policy link, reading a product listing or continuing to browse a page.

38. Contact and linked policies

The then-current policies should be linked in the website footer and in the relevant transaction documents. Refund/Shipping, Payment Plans, Authentication Guarantee, Consignment, Live Sales/Auctions and Privacy must each be independently accessible. The effective version of any separate transaction-specific agreement is the one accepted for that transaction, subject to law.
